1. Acceptance of Terms

By accessing or using Speakli (the “Service”), operated by Learnforest LLC (“Learnforest,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. If you are under 18 years of age, your parent or legal guardian must review and accept these Terms on your behalf.

2. Description of Service

Speakli is an AI-powered speaking practice platform that enables learners to engage in guided conversations with AI agents and receive speech feedback assessments. The Service includes AI conversation sessions, feedback reports, coaching tools, progress tracking, and related features accessible via web browser.

3. Accounts and Registration

To access the Service, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@speakli.app of any unauthorized use of your account.

Speakli requires a parent or guardian to provide consent before a learner who indicates they are under 16 may use the Service. This broader protected-minor rule includes the consent required by the Children’s Online Privacy Protection Act (COPPA) for children under 13.

4. Subscriptions and Payments

Speakli offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing to a paid plan, you authorize Learnforest to charge the applicable fees to your payment method.

You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.

We reserve the right to change our pricing with reasonable advance notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to transmit content that is harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent.
• Reproduce, distribute, or create derivative works from any content on the Service without authorization.
• Share your account credentials with others or allow multiple users to access the Service through a single account.

6. AI-Generated Content

The Service uses artificial intelligence to generate conversation prompts, responses, and feedback assessments. AI-generated content is provided for educational purposes only and does not constitute professional advice. Learnforest does not warrant the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

Your conversation audio and transcripts may be processed by third-party AI and voice-technology providers (including OpenAI, Google, Anthropic, Deepgram, ElevenLabs, and Cartesia) to deliver the Service. Practice video, if you enable your camera, stays on your own device and is not sent to us or these providers. See our Privacy Policy for details.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Learnforest LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit during conversation sessions. By using the Service, you grant Learnforest a limited license to host, transmit, process, and display that content only to operate, secure, maintain, troubleshoot, and improve the Service as described in the Privacy Policy. This includes the limited evaluation and improvement uses described in the Privacy Policy, but does not authorize advertising uses or the submission of your content to service providers for the purpose of training their general-purpose AI models.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEARNFOREST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEARNFOREST LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LEARNFOREST IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we determine that you have violated these Terms or that termination is necessary to protect Learnforest, other users, or third parties. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice in the Service or by sending an email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
